Terms of Service - Lockheart Labworks

These Terms of Service ("Terms") govern your use of Lockheart Labworks' services and website. By accessing our services, you agree to these Terms.

1. Definitions

"We," "Us," "Our": Refers to Lockheart Labworks, a Morocco-based software development company.
"Services": Custom website and web application development for B2B clients.
"Client," "You": The business entity engaging our services.

2. Services

We provide custom software development services as outlined in individual project agreements. All deliverables will be specified in a separate Statement of Work (SOW).

3. Client Responsibilities

You agree to:

Provide timely feedback and required materials
Appoint a single point of contact for project coordination
Adhere to payment schedules outlined in the SOW
Ensure all provided content complies with applicable laws

4. Intellectual Property

Pre-Existing Materials: Each party retains ownership of their pre-existing IP.
Deliverables: Upon full payment, we transfer rights to the final deliverables as specified in the SOW.
Open-Source Components: Some projects may incorporate OSS under their respective licenses.

5. Payments

Fees are outlined in the SOW and are non-refundable
Late payments incur 1.5% monthly interest
We reserve the right to pause work for unpaid invoices >30 days overdue

6. Confidentiality

Both parties agree to protect confidential information for 3 years post-engagement, except when disclosure is required by law.

7. Warranties

We warrant that services will be performed with reasonable skill and care. All other warranties are expressly disclaimed unless mandated by Moroccan law.

8. Limitation of Liability

Our total liability is limited to fees paid for the relevant services. We are not liable for indirect, consequential, or incidental damages.

9. Termination

Either party may terminate with 30 days written notice. Termination fees may apply as outlined in the SOW.

10. Governing Law

These Terms are governed by Moroccan law. Disputes will be resolved in courts in Morocco.

11. Changes to Terms

We may modify these Terms with 15 days notice. Continued use constitutes acceptance.
